These Terms of Service (the "Terms") are a binding agreement between Endpoint Studios Inc., a company based in Quebec, Canada, that operates the Service under the trade name Tein ("Tein", "we", "us"), and the individual or entity using the Service ("Customer", "you"). They govern your access to and use of the Tein generative-media platform, the APIs served at api.tein.ai, the web dashboards, the Documentation, and all related services (collectively, the "Service"). By creating an account, topping up Credits, generating an API key, or otherwise accessing the Service, you accept these Terms; if you do so on behalf of an organization, you represent that you have authority to bind it, and "you" refers to that organization. These Terms incorporate by reference the Tein Privacy Policy and the Tein Acceptable Use Policy (the "AUP"). If you do not agree, you must not use the Service.

1. Your Information

In registering for and using the Service you will provide Tein with information about yourself and, where applicable, your organization, including your name, email address, organization name, and billing and payment details ("Your Information"). You agree that Your Information will be accurate, current, and complete, and that you will keep it up to date. Tein relies on Your Information to provision the Service, deliver notices, collect fees, and meet its legal obligations; inaccurate or stale information may result in misdirected notices or suspension of your account.

Tein collects, uses, and discloses personal information in accordance with its Privacy Policy and applicable privacy law, including Canada's Personal Information Protection and Electronic Documents Act ("PIPEDA") and substantially similar provincial legislation. Where you submit personal information of third parties, you represent that you have obtained all consents and given all notices required to permit Tein to process it as contemplated by these Terms and the Privacy Policy.

2. Eligibility

The Service is offered only to persons who are at least eighteen (18) years of age and who have reached the age of majority in their province, territory, or other jurisdiction of residence. By using the Service you represent that you meet this requirement, have the legal capacity to enter into a binding contract, and are not barred from receiving the Service under the laws of Canada or any other applicable jurisdiction, including the sanctions laws in Section 20. The Service is not directed at children, and Tein does not knowingly permit minors to hold accounts.

If you create or administer a team organization, you are responsible for every member you invite or approve, every API key issued under the organization, and all activity under its account. Acts and omissions of your members, contractors, and service accounts are deemed your own for purposes of these Terms. You must ensure every member complies with these Terms and the AUP, and promptly remove access for anyone who no longer requires it or who violates them.

3. Defined Terms

"Customer Solution" means an application, website, workflow, product, or service developed or operated by you that integrates the Service, including through the API at api.tein.ai. "Documentation" means the technical documentation, model cards, and usage instructions that Tein makes available, as updated from time to time. "End Users" means users of a Customer Solution who access functionality powered by the Service through that Customer Solution rather than directly through a Tein account.

"Customer Input" means the prompts, text, images, video, audio, reference materials, and parameters that you or your End Users submit to the Service. "Output Content" means the media generated by the Service in response to Customer Input. "Usage Data" means telemetry, logs, metadata, performance and latency statistics, error rates, safety-classifier signals, and other technical data and derived analytics generated by the operation of the Service, in each case de-identified or aggregated so that they no longer identify any person and no longer reveal the content of Customer Input or Output Content; as between the parties, Usage Data is exclusively owned by Tein and used as described in Section 6 and the Privacy Policy.

"Credits" means the prepaid units of compute capacity used to meter consumption of the Service, where USD $1.00 of purchase price corresponds to one (1) Credit, as described in Section 8. "Term" means the period beginning when you first accept these Terms and continuing until they are terminated under Section 10.

4. Services

Subject to your continuous compliance with these Terms and payment of all applicable fees, Tein grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable (except to End Users as set out below) license during the Term to access and use the Service and the Documentation solely for your internal business purposes and to develop and operate Customer Solutions. You may permit End Users to access the Service's functionality through a Customer Solution, provided that (a) End Users access the Service only through your Customer Solution, (b) you remain fully responsible and liable for all End User activity as if it were your own, and (c) your agreement with End Users is at least as protective of Tein as these Terms.

The Service provides access to generative artificial-intelligence models, including image, video, audio, and large-language models. Generative models are probabilistic: Output Content may be inaccurate, incomplete, offensive, or fabricated ("hallucinated"), may not reflect real people, events, or facts, and may be similar or identical to output generated for other customers from similar input. Tein makes no representation or warranty that Output Content will be original, accurate, fit for any purpose, or free of third-party rights; you are solely responsible for evaluating it before use, publication, or reliance.

Tein may modify the Service from time to time, including by adding, versioning, deprecating, or removing models, endpoints, and features, and will use commercially reasonable efforts to give advance notice of changes that materially reduce core functionality.

5. Accounts

You must register an account to use the Service. You are responsible for maintaining the confidentiality and security of your account credentials and API keys, and for all activity that occurs under them, whether or not authorized by you. API keys are sensitive secrets: do not embed live keys in client-side code, publish them in public repositories, or share them outside your organization. Notify Tein promptly through Support of any unauthorized use of your account or compromise of a key, and rotate compromised keys immediately.

Accounts and organizations may not be sold, transferred, rented, or shared outside your organization. Tein may require re-verification of Your Information, including identity and payment verification, where reasonably necessary to prevent fraud, enforce these Terms, or comply with law. Creating a new account to evade a suspension, termination, or access block applied to a prior account is a material breach of these Terms.

6. Customer Input & Use Restrictions

As between you and Tein, you retain all right, title, and interest in Customer Input. You grant Tein a worldwide, non-exclusive, royalty-free license to host, store, cache, transmit, reproduce, process, modify (solely as technically necessary, such as transcoding, compressing, or resizing), and display Customer Input and Output Content, and to generate Output Content from Customer Input, solely to operate, provide, secure, and maintain the Service, enforce these Terms and the AUP, and comply with law. This license exists to run the platform (routing requests to model infrastructure, delivering and caching results, troubleshooting, and enforcing safety), does not transfer ownership of your content to Tein, and is consistent with the corresponding license described in the Privacy Policy. You represent that you have all rights and consents necessary to submit Customer Input and grant this license, and that it does not violate law or the rights of any person. Tein permanently deletes Customer Input and Output Content held in Tein's systems fourteen (14) days after the generation, or thirty (30) days after a generation on the designated Creative mode endpoints. You may ask Tein to delete it sooner, or to keep it for an investigation until one (1) month after the generation, by emailing privacy@tein.ai from your account email address before it is deleted; once it is deleted, Tein cannot investigate, recover, or re-check it. Material Tein must preserve under Section 7 or by law is kept as the law requires.

Usage Data & no training. As between the parties, Tein exclusively owns Usage Data (the telemetry, metadata, and derived analytics described in Section 3, de-identified or aggregated so that they no longer identify you or any other person and no longer reveal the content of prompts or outputs) and may use Usage Data for analytics, capacity planning, security, and service improvement. Tein does not use Customer Input, Output Content or safety-review material to train, fine-tune or improve AI models and does not authorize providers to train on that content on its behalf. This commitment applies to Standard and Creative mode. The scope and review status of upstream no-training terms are described in Section 14 and the Privacy Policy.

Except as expressly permitted by these Terms or by law notwithstanding contractual prohibition, you must not, and must not permit any third party to: (a) reverse engineer, decompile, or otherwise attempt to derive the source code, model weights, architectures, or training data of the Service or any model available through it; (b) scrape, crawl, or harvest the Service, or access it by automated means other than the documented API; (c) resell, rent, or offer the Service, Credits, or raw model access as a standalone service, other than as part of a Customer Solution that adds material functionality; (d) circumvent or interfere with rate limits, quotas, metering, safety classifiers, content filters, or other technical or security controls, including by spreading load across multiple accounts; (e) systematically extract Output Content or Service responses to assemble a dataset, replicate the Service, or train, fine-tune, or distill a competing model; or (f) copy the Service's features, interfaces, or Documentation to build a competing product.

7. Acceptable Use

Your use of the Service, and all use by your organization members and End Users, must comply at all times with the Tein Acceptable Use Policy, incorporated into these Terms by reference. The AUP describes prohibited and restricted content categories and the rules governing the designated Creative mode endpoints. Tein may interpret and enforce the AUP in its sole discretion, and may remove content, refuse requests, suspend access, or terminate accounts in response to violations or credible reports of violations, without prior notice where Tein reasonably considers immediate action necessary. Tein monitors use of the Service: we may use automated checks and human review, including on designated Creative mode endpoints, and Tein reserves the right to review, and its staff do review, requests made through the designated Creative mode endpoints. Content from those endpoints is kept for thirty (30) days for that review, as described in Section 6. You consent to this monitoring and review.

Tein maintains an absolute, zero-tolerance prohibition on any content that sexualizes, exploits, or harms minors, whether real, fictional, stylized, or synthetic, including child sexual abuse material and any content facilitating grooming or sextortion of a minor. This prohibition applies to every model on the platform without exception, including the designated Creative mode models, and to attempts as well as completed generations. Safety restrictions apply at every setting. Confirmed violations, including confirmed attempts, result, without a warning step, in immediate and permanent termination of the account and any associated organization, forfeiture of all remaining Credits, blocking of further access (including measures against new-account evasion), preservation of evidence, and reporting to competent authorities where required by law or otherwise lawfully justified. Non-consensual intimate imagery, content facilitating human trafficking, and depictions of sexual violence are equally prohibited on every model. Using a real person's face or likeness without that person's documented consent, including through Pass faces or the designated Creative mode endpoints, results, without a warning step, in immediate and permanent termination of the account and reporting where required by law or otherwise lawfully justified.

Creative mode supports lawful creative work, including horror and film, subject to the AUP. Pornography and other content intended for sexual gratification are prohibited on every endpoint, including Creative mode. Browser access requires an approved application; API access does not exempt any request from these rules. We may require proportionate age or identity verification. Before a further verification check, we explain what is needed and why, how it is handled, and any available alternatives. A failed or inconclusive automated check can be referred for human review; it is not itself evidence of wrongdoing. Verification is not proof of another person's consent or permission to use their likeness or intellectual property. A violation of the AUP is a material breach of these Terms. You may ask us to correct inaccurate information or review a mistaken enforcement decision through Support, including when an account is terminated. Restrictions may remain during review. This does not waive zero-tolerance rules or limit statutory recourse.

8. Fees, Credits & No Refunds

The Service is metered on a prepaid, pay-as-you-go basis. You top up Credits in advance at one (1) Credit per USD $1.00, and Credits are consumed as you run generations at the prices published on the pricing page and in the Documentation. Tein charges no seat fees; apart from the optional Scale subscription described in Section 9, your cost is a function of what you generate. Balances, history, and top up options are available in your dashboard.

All Credit purchases are final and non-refundable. When you top up Credits, Tein provisions compute capacity against that purchase at the time of sale; because that capacity is committed on purchase, Tein does not provide refunds, returns, or exchanges of Credits for any reason, including unused balances, dissatisfaction with Output Content, changes to the model catalog, or account closure, except where a refund is required by law that cannot be excluded by contract. Credits are not money, are not redeemable for currency, are non-transferable, may not be resold, and have no cash value. Purchased Credits never expire. Promotional Credits, where Tein grants them by hand, expire twelve (12) months after issuance and draw down after purchased Credits.

Fees and Credit purchase prices are exclusive of taxes. You are responsible for all applicable taxes and duties, including Canadian goods and services tax / harmonized sales tax (GST/HST), provincial sales taxes, and any value-added or similar taxes of your jurisdiction, other than taxes on Tein's net income; where Tein must collect them, they will be added at the applicable rate.

Price changes. Tein may change its published per-generation prices, tier thresholds, the Scale fee, and any other fee at any time, in its sole discretion. Changes take effect upon posting to the pricing page and apply prospectively only: the posted price in effect at the time a generation is submitted governs that generation, and a price change never alters the dollar value of Credits already in your account. Your Credit balance is unaffected, though the number of generations it will buy may change. Your continued use of the Service after a price change takes effect constitutes acceptance of the changed prices. Tein may, but is not obligated to, announce material price changes through the Service or by email to your account address. Additional or different terms may be presented at the point of sale for specific top ups, subscriptions or promotions and form part of your purchase, as described in Section 9. For clarity, and without limiting the foregoing: Tein does not issue refunds on Credits, including in connection with any price change. Please top up only what you expect to use.

9. Discounts, Subscriptions & Price Comparisons

Spend tiers. Reaching a published threshold lowers the price charged for every model on the account. It is a price change, not an award of bonus Credits and not a rebate. As at the publication of these Terms, the pay-as-you-go tiers are Starter (our standard prices, from your first request) and Plus User: up to 7% off every price, unlocked when you add or spend $999 within 30 days. Credits added to the account (top ups, including automatic top ups, but not the Scale fee or Credits that Tein grants) and Credits spent are each counted over a rolling thirty (30) day window, and the account qualifies when either reaches the threshold. The tier applies from the next request after the account qualifies and continues while it qualifies; when it no longer qualifies, Starter prices apply from the next request. A tier does not create bonus Credits: the saving is delivered as the lower published price in effect when a generation is submitted, which Tein may change as described in Section 8. Promotional Credits, where issued, have no cash value, are not money, are non-transferable, may not be resold, are non-refundable, expire twelve (12) months after issuance, and are drawn down only after your purchased Credits have been exhausted.

Scale subscription. Scale is $499 a month for up to an additional 15% off every price and priority support (or $5,489 a year, first month free). The fee is not credit: it lowers your prices. You still top up and pay per generation. Scale prices apply from day one, with no spend required. Scale also includes priority support: Scale tickets are answered first. Spend $5,000 a month and get a shared Slack channel with our team. You may switch tiers any day, in which case the current month's usage is re-priced, and you may cancel at any time. Tein may change the Scale fee and discount prospectively; the fee and discount displayed at the point of sale apply to the period you purchase.

Enterprise. Custom prices for large, steady volume, agreed with you: customers with sustained, high-volume usage may qualify for custom per-generation prices under a separate written agreement signed by Tein. Enterprise prices are never published. Any such discount is prospective only and applies solely from the effective date stated in that agreement; discounts are never applied retroactively to prior consumption or to Credits already spent. Tein may condition any Enterprise agreement on identity or business verification, minimum usage or spend commitments, or other terms set out in the applicable agreement. Nothing in these Terms obligates Tein to offer a discount to any customer, to extend a discount offered to one customer to any other customer, or to continue any discount beyond the term stated in the applicable written agreement.

Tier changes. These tiers are described as current at publication only. Tein may add, modify, or withdraw tiers prospectively at any time, and the tiers in effect at the time of your purchase are those displayed at the point of sale and on the pricing page.

Market-price comparisons. Tein may publish statements comparing its pricing to market pricing, such as a percentage saved against another provider's listed price. These statements are good-faith estimates based on the publicly listed prices of comparable third-party services for comparable generation tasks, measured at a point in time. Third-party pricing changes frequently and without notice, and Tein does not continuously reprice its comparisons. Comparative statements are provided for general information only and are not a guarantee of savings, a price-match commitment, a representation about the price you would actually pay any third party, or an ongoing promise that any price differential will be maintained. Tein may revise, qualify, or discontinue any comparative claim at any time without notice, and no comparative claim modifies the published per-generation prices that govern your consumption of Credits.

Point of sale. Additional or different terms, including tier thresholds, discount percentages, subscription fees, eligibility conditions, and expiry dates, may be presented at the point of sale for specific top ups, subscriptions or promotions, and by completing the purchase you accept those terms, which form part of your agreement with Tein for that purchase. In the event of a conflict between point-of-sale terms and this Section, the point-of-sale terms govern that purchase. For clarity, all Credit purchases remain final and non-refundable as set out in Section 8 regardless of any discount, subscription, or promotion applied, and no discount or promotional mechanic creates any right to a refund, exchange, or cash redemption.

10. Term, Termination & Suspension

These Terms commence when you first accept them and continue until terminated. You may terminate at any time by closing your account from your dashboard; termination does not entitle you to a refund of Credits, which are forfeited on closure. Either party may terminate for material breach where the breach remains uncured thirty (30) days after written notice describing it.

Notwithstanding the cure period, Tein may terminate these Terms and your access immediately for any violation of Section 6 or Section 7. Violations of the prohibited-content rules concerning minors, the use of a real person's face or likeness without their documented consent, non-consensual intimate imagery, human trafficking, or sexual violence result in immediate and permanent termination, forfeiture of all remaining Credits (purchased and promotional), access blocking, evidence preservation, and reporting to law enforcement as described in Section 7, and Tein has no obligation to restore the account or any content.

Tein may suspend access to all or part of the Service, with notice where practicable, where (a) Tein reasonably believes your use violates these Terms or the AUP or threatens the security, integrity, or availability of the Service; (b) your account shows signs of compromise or fraudulent payment activity; (c) suspension is required by law or a payment provider; or (d) you fail to pay amounts owing. Suspensions will be limited to what is reasonably necessary and lifted promptly once the ground is resolved. When Tein suspends your account, we provide the reason where lawful and practicable. You may request review through the dashboard where available or through Support, normally within thirty (30) days. That administrative window does not limit statutory rights to correction, human review or other recourse. A suspension applies to every organization you own. While your account is suspended, your Credit balance is kept and any Scale subscription is not billed until the suspension is lifted. A violation concerning minors, or the use of a real person's face or likeness without their documented consent, results in termination, subject to review of factual errors, and may be reported to authorities where required by law or otherwise lawfully justified. Suspected child sexual abuse material is escalated under our child-safety reporting procedure. Tein is not liable to you or any End User for damages arising from a suspension under this Section, and Credits are not refunded or extended by reason of a suspension. Sections 3, 6 (license to Tein and Usage Data ownership), 8, 9, and 11 through 22 survive termination, along with any other provision that by its nature should survive.

11. Ownership

Tein and its licensors retain all right, title, and interest in and to the Service, including the platform software, APIs, model deployments and weights, infrastructure, safety systems, Documentation, and Usage Data, together with all associated intellectual-property rights. No rights are granted to you other than the limited license in Section 4.

As between you and Tein, and subject to your compliance with these Terms, Tein assigns to you its right, title, and interest, if any, in Output Content generated from your Customer Input, and you own that Output Content to the extent ownership can subsist in it under applicable law. The legal status of AI-generated works varies by jurisdiction; Output Content may be subject to third-party rights or to the third-party model terms described in Section 14, and Tein does not warrant that Output Content is protectable, original, or non-infringing. You are solely responsible for your use and commercialization of Output Content.

12. Trademarks

"Tein", the Tein logo, and the names of Tein services are trademarks of Endpoint Studios Inc. These Terms grant you no right to use Tein's trademarks, and you must not use them, including in the name or branding of a Customer Solution, without Tein's prior written consent, except for accurate, non-prominent factual references such as "built on the Tein API". You must not suggest that Tein sponsors or endorses you or your Customer Solution.

13. Feedback

If you provide Tein with suggestions, feature requests, bug reports, or other feedback about the Service ("Feedback"), you grant Tein a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use and exploit that Feedback for any purpose without restriction, attribution, or compensation. Feedback is voluntary, and Tein has no obligation to implement it or keep it confidential.

14. Third-Party Models & Materials

Many models available through the Service are developed by third parties and hosted, served, or resold by Tein under license. Model availability, versions, capabilities, and pricing may change as third-party terms and deprecation schedules change, and Tein may substitute, version, or retire a model at any time. Where a third-party model provider imposes usage terms or license restrictions on output from its model, those terms are identified in the Documentation or the applicable model card, and your use of that model and its Output Content must comply with them in addition to these Terms.

Upstream no-training review. The model API metadata labels the model provider's no-training terms Ready or Pending. Ready means the applicable provider terms have been confirmed; Pending means the review is incomplete, not that the provider trains on customer data. Pending models remain available under the same access and content rules. A separate delivery-chain review covers intermediaries, fallback providers, account settings and agreements. Ready at the model-provider level does not establish that this separate review is complete. The Privacy Policy explains the scope and current reviewed group.

An Official partner tag identifies an authorized relationship with the model maker. Review labels do not grant permission to train on Customer Input or Output Content, promise zero retention, or certify legal or security compliance. They do not exclude a model from Tein's own no-training commitment, our data-protection obligations or rights you have under applicable law. Upstream retention may differ from Tein's own schedule, including for security and legal preservation purposes.

You must not use the Service or any Output Content to train, fine-tune, distill, or otherwise improve a machine-learning model that competes with the Service or any model available through it, or to reconstruct, extract, or replicate the training data, weights, or behaviour of any model on the platform. The Service may link to or interoperate with third-party tools and services (including MCP servers and storage providers); Tein does not control and is not responsible for them, and your use of them is at your own risk and subject to their own terms.

15. Indemnification

You will defend, indemnify, and hold harmless Tein, its affiliates, and their respective directors, officers, employees, and agents from and against all third-party claims and proceedings, and all resulting liabilities, damages, fines, settlements, and expenses (including reasonable legal fees), to the extent arising out of or relating to: (a) Customer Input, including any claim that it infringes intellectual-property, privacy, or publicity rights or violates law; (b) your Customer Solutions and your relationships with End Users; (c) your use, publication, or commercialization of Output Content; (d) your breach of these Terms or the AUP; or (e) your violation of applicable law.

Tein will give you prompt written notice of any indemnified claim, reasonable cooperation at your expense, and control of the defence and settlement, provided you may not settle in a manner that imposes obligations or admissions on Tein without its prior written consent, and Tein may participate in the defence with its own counsel at its own expense.

16. Disclaimers

EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, THE DOCUMENTATION, AND ALL OUTPUT CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY, CONDITION, OR REPRESENTATION OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR ARISING FROM COURSE OF DEALING, INCLUDING ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, DURABILITY, OR AVAILABILITY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

WITHOUT LIMITING THE FOREGOING, TEIN DOES NOT WARRANT THAT OUTPUT CONTENT WILL BE ACCURATE, RELIABLE, ORIGINAL, LAWFUL TO USE FOR YOUR PURPOSES, OR FREE OF THIRD-PARTY RIGHTS, AND DISCLAIMS ALL LIABILITY FOR DECISIONS MADE OR ACTIONS TAKEN IN RELIANCE ON OUTPUT CONTENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, INCLUDING LEGAL WARRANTIES OWED TO CONSUMERS UNDER PROVINCIAL CONSUMER-PROTECTION LEGISLATION; TO THAT EXTENT, THE ABOVE EXCLUSIONS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY THE LAW APPLICABLE TO YOU.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR ANTICIPATED SAVINGS, OR THE COST OF SUBSTITUTE SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TEIN'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) FIFTY CANADIAN DOLLARS (CAD $50) AND (B) THE TOTAL FEES YOU PAID TO TEIN IN THE TWELVE (12) MONTHS PRECEDING THE FIRST EVENT GIVING RISE TO LIABILITY.

These exclusions and limitations do not apply to: (a) a party's fraud, gross negligence, or wilful misconduct; (b) your payment obligations or your indemnification obligations under Section 15; or (c) any liability that cannot be excluded or limited under applicable law, including bodily or moral injury and non-waivable rights under provincial consumer-protection legislation. The fees for the Service reflect this allocation of risk, and Tein would not offer the Service at those fees without these limitations.

18. Dispute Resolution

Please contact legal@tein.ai with a description of a dispute and the resolution you seek. We will try to resolve it in good faith. This voluntary process does not prevent urgent relief, a complaint to a regulator or filing within an applicable legal deadline.

These Terms do not require a consumer to submit a future dispute to arbitration or waive participation in a class action. The parties may agree to mediation or arbitration after a dispute arises where legally permitted. Otherwise, disputes may be brought before a competent court, subject to Section 19 and mandatory consumer protections. The limitation periods established by applicable law govern; these Terms do not shorten them.

19. Governing Law & Venue

These Terms, and any Dispute arising out of or relating to them or the Service, are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to Section 18, each party irrevocably submits to the exclusive jurisdiction of the courts of the Province of Quebec for any proceeding not subject to arbitration, and waives any objection to venue in those courts. Nothing in this Section deprives a consumer of the protection of mandatory provisions of law, or the jurisdiction of the courts, of the province or territory where the consumer resides, where those provisions cannot be derogated from by agreement.

20. Export Controls & Sanctions

The Service and its underlying technology may be subject to export-control and economic-sanctions laws of Canada and other jurisdictions, including the Export and Import Permits Act, the Special Economic Measures Act and the United Nations Act and regulations made under them, and, where applicable, the export-control and sanctions laws of the United States and other countries. You agree to comply with all such laws and not to export, re-export, transfer, or provide access to the Service or any Output Content in violation of them.

You represent that: (a) you are not, and are not owned or controlled by or acting on behalf of, a person on any Canadian, United Nations, or other applicable sanctions list; (b) you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive sanctions or measures prohibiting the supply of services of this kind; and (c) you will not use the Service for any end use prohibited by export-control law, including the design or development of weapons. Tein may suspend or terminate access immediately, without liability, where it reasonably believes continued provision would violate, or expose Tein to penalties under, any such law.

21. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable by an arbitrator or court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, or deemed modified to the minimum extent necessary, or failing that severed, and the remaining provisions will continue in full force and effect.

22. General

These Terms, together with the Privacy Policy, the Acceptable Use Policy, and any model-specific terms referenced in the Documentation, constitute the entire agreement between you and Tein regarding the Service and supersede all prior agreements and communications on that subject. In a conflict, these Terms prevail over the AUP except on content rules, where the AUP is the more specific document. Tein may update these Terms from time to time; changes will be signalled by updating the "Last updated" date above and, where a change materially reduces your rights, by reasonable advance notice. Mandatory notice, consent, cancellation and refund rights under applicable consumer law take precedence over any inconsistent clause. Continued use is not treated as a waiver of those rights.

You may not assign these Terms without Tein's prior written consent, and any attempted assignment in violation of this Section is void; Tein may assign them without consent in connection with a merger, amalgamation, reorganization, or sale of all or substantially all of its assets. No failure or delay in exercising a right is a waiver of it. Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control. The parties are independent contractors, and there are no third-party beneficiaries other than the indemnified parties in Section 15.

You consent to receive notices and other communications from Tein electronically, by email to your account address and by posting within the Service, and agree that electronic communications satisfy any requirement that a communication be in writing. Notices and questions may be directed to legal@tein.ai. Where Quebec law requires a French version of a contract or related document, it must be provided before an express choice to contract in another language. Merely viewing this English page does not constitute that choice or waive language rights.
